A financial services and insurance company is seeking an Attorney to assist with SEC filings, starting in December and going through March or April of next year. Familiarity with the '33 Act, '34 Act, 10-k, 10-q, and 8-k filings is required. Experience in the insurance industry is a bonus, but is not required. There is enough work for the Attorney to work 40 hours per week, but the company would welcome an experienced attorney who could only commit part time hours (at least 25 hours per week). This is an excellent, substantive opportunity for an Attorney looking to round out their schedule, or be engaged while searching for a new position. 

This work is 100% remote and the Attorney may be located anywhere within the US.

Requirements:
  • Be able to assist in the preparation of ’34 Act filings, including Form 10-K, Form 10-Q, Form 8-K, proxy statements, beneficial ownership and Section 16 filings
  • Experience in the preparation of ’33 Act filings in connection with both equity and debt offerings
  • Familiarity with compliance with the Sarbanes-Oxley Act of 2002, the Dodd-Frank Act of 2010 and relevant stock exchange listing rules and requirements
  • Draft 10b5-1 plans as needed
  • Bar admission in any state
